1. Acceptance of Terms

By accessing or using any services, APIs, websites, or platforms provided by Outlier AS ("Outlier", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Services

Outlier is a technology and data service provider. We provide sports data infrastructure, APIs, analytics tools, alert services, and related technology platforms. The specific features and functionality available to you depend on your subscription plan and any applicable service agreements.

3. Account Registration

To use certain services, you must create an account. You agree to provide accurate, complete information and to keep your account credentials secure. You are responsible for all activity under your account. Each user is entitled to one complimentary (free tier) account. Attempts to circumvent free tier limitations by creating multiple accounts may result in account termination. Notify us immediately at hello@outliertech.io if you suspect unauthorized access.

4. Acceptable Use

You agree not to:

• -Use our services for any unlawful purpose.
• -Attempt to gain unauthorized access to our systems or other users' accounts.
• -Interfere with or disrupt the integrity or performance of our services.
• -Resell, redistribute, or sublicense our data or access to our services without prior written consent.
• -Access our services via automated bots, scrapers, or similar tools except through our official APIs.
• -Reverse engineer, decompile, or otherwise attempt to extract the source code of our services.
• -Exceed any rate limits or usage quotas applicable to your subscription plan.

5. API Usage and Rate Limits

API access is subject to rate limits and usage quotas that vary by subscription tier. We reserve the right to throttle or block excessive usage that impacts service performance for other users. Overage fees may apply if you exceed the limits of your plan. Continued excessive usage after notification may result in temporary suspension of API access.

6. Free Trials

Free trials are limited to one per user. Attempting to create multiple accounts to obtain additional free trials may result in charges for the applicable subscription or account cancellation at our discretion.

7. Payment and Billing

Paid services are billed in advance on a recurring basis (monthly or annually) as specified in your subscription plan. Subscriptions automatically renew at the end of each billing cycle unless cancelled beforehand. All fees are non-refundable except in cases of significant error on our part or as required by applicable law. Refunds outside of these circumstances are handled on a case-by-case basis at our sole discretion. We reserve the right to modify pricing with at least 30 days advance notice to existing subscribers. Non-payment may result in suspension or cancellation of your account. Payment processing is handled by Stripe, and you agree to their terms of service when making payments.

8. Intellectual Property

All content, code, designs, trademarks, and technology provided through our services are owned by Outlier AS or its licensors and are protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use our services as intended. You retain ownership of any data you submit to our platform.

9. Data Accuracy and Disclaimer

While we strive to provide accurate and up-to-date data, we do not guarantee the accuracy, completeness, or reliability of any data or information provided through our services. Users must independently verify information before acting on it. Outlier AS is not responsible for any losses or damages resulting from reliance on data provided through our platforms.

10. Data and Privacy

Your use of our services is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue services for maintenance, updates, or reasons beyond our control. We will make reasonable efforts to provide advance notice of planned downtime and significant changes to existing subscribers.

12. Limitation of Liability

To the maximum extent permitted by law, Outlier AS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of our services. Our total liability for any claim arising from these terms shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription or account by contacting us. We may suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, abuse free tier limitations, or fail to make required payments. Upon termination, your right to use the services ceases immediately. No refunds will be issued for termination due to policy violations, except where required by law. We may retain certain data as required by law.

15. Dispute Resolution

Any disputes arising from these terms shall first be resolved through informal negotiation. If a resolution cannot be reached within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts of Norway.

16. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by posting the updated terms on our website. Your continued use of our services after changes take effect constitutes acceptance of the revised terms.

17. Governing Law

These terms are governed by and construed in accordance with the laws of Norway. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Norway.
